3. Orders

Requests for quotes are made by the Freelancers by contact directly at un-codeur-gratuit.co.uk.

Sales of Services are made after establishment of an estimate for the Customer and express acceptance of the estimate by the latter, under the payment conditions provided between the parties on the site.

4. Service provision and prices

The rates are those in effect on the day the Order is placed, as established on the UN CODEUR GRATUIT LTD UK & EU Networking platform site.  .

All parties are independent of UN CODEUR GRATUIT LTD UK & EU with respect to matters dealt with outside of this Agreement. Registered Users shall not be considered employees, agents or partners of UN CODEUR GRATUIT LTD UK & EU and UN CODEUR GRATUIT LTD UK & EU shall not be considered an employer, agent, or partner of Registered Users.

B. You understand that UN CODEUR GRATUIT LTD UK & EU is merely acting as a matchmaker between you and Freelancers/Freelancers Partners and Sellers and Buyers are all UN CODEUR GRATUIT LTD UK & EU Custommers. UN CODEUR GRATUIT LTD UK & EU is not responsible for ensuring the accuracy, fulfillment, and execution of the tasks you request from Freelancers, Sellers and Buyers.

C. You agree that UN CODEUR GRATUIT LTD UK & EU, in providing all of its services, is not considered an employer. You agree and understand that UN CODEUR GRATUIT LTD UK & EU shall not be bound by any contract of employment between you and a Freelancer/Freelancer, vendors or purchasers, if such a contract exists. We are not responsible for and do not control how Freelancers/Freelancers, Vendors and Buyers operate, and we are not involved in and do not control the hiring processes and working conditions of Freelancers/Freelancers, Vendors and buyers. We do not provide any material or support to the Freelancer / Freelancer, sellers and buyers so that he can carry out the project for which you have hired him. Any problem, complaint or question regarding work environment, performance or other Agreement between you and the Freelancer/Freelancer, Vendors and Buyers shall be resolved by you and the Freelancer/Freelancer, Vendors and Buyers you engage. Again, this is in accordance with the Freelancers/Freelancers Partners and the quote that he specified for UN CODEUR GRATUIT LTD UK & EU to fulfill the task for our customer.

C. UN CODEUR GRATUIT LTD UK & EU does not guarantee the veracity of the information published by users of the site, whether publicly in their profile, or privately in their account or in their private messages. It is up to the Independents / Freelancers Partners, sellers and buyers and Project Holders / Clients to verify the information before concluding a sale, a purchase, a service or any other commercial transaction. 

UN CODEUR GRATUIT LTD UK & EU cannot be held responsible in the event of publication of erroneous or fraudulent information by one of the Users of the Site.

D. By registering with UN CODEUR GRATUIT LTD UK & EU as a Service Seller, you agree to be incorporated into a legal structure (corporation, portage or other) by which you can legally perform and sell the services you offer.

E. You agree to comply with applicable laws regarding employment discrimination, taxes, payroll taxes and duties in your jurisdiction. You agree not to hold UN CODEUR GRATUIT LTD UK & EU liable for any violation or non-compliance with these statutes or laws by you.

F. Service providers located outside continental UK & Europe do NOT have the RIGHT to request a deposit or any payment before delivery of the object of the service.

All down payment on the site is limited and fixed at 5 percent for project  & 10 percent for a services submitted of the total sale for the duration of the sales contract concluded between the buyer and the seller on the site.

8. PAYMENTS
A. UN CODEUR GRATUIT LTD UK & EU receives payments in return for several types of services offered on our Site: subscriptions, commissions and visibility options. These services begin immediately, from the moment the Customer’s payment is made and validated by the Site. Therefore, by using our Site to make these purchases, you can immediately benefit from the services ordered and you explicitly waive any recourse to the right of withdrawal.

You agree and understand that UN CODEUR GRATUIT LTD UK & EU may change its prices at any time.

B. The payment of commissions occurs after the buyer has paid the sale price concluded between the buyer and the seller. Freelance  is invited to pay the commission as soon as one of these conditions is validated and will receive a statement detailed with the payout of the freelancer at all in its dashboard. Without payment of the commission, the buyer cannot send a message and continue the exchanges and the messages he has received will not be displayed and his account may be suspended.

C. UN CODEUR GRATUIT LTD UK & EU provides you with an electronic invoice accessible in the “My transactions” page, for the payment of services provided by UN CODEUR GRATUIT LTD UK & EU (Connection, subscription, realization commission).

D. Invoices for services ordered from Freelancers / Independents, sellers and buyers must be provided directly by the Freelancers / Independents, sellers and buyers who validated the order.

E. You are responsible for payments. UN CODEUR GRATUIT LTD UK & EU is not a payment intermediary and cannot be held responsible for any breach by either party.

F. UN CODEUR GRATUIT LTD UK & EU reserves the right to refund or not refund the  percent of commission depending on the situation. Users acknowledge the authority of UN CODEUR GRATUIT LTD UK & EU in deciding whether or not to refund commissions. Freelance providers and sellers recognize that obtaining partial payment in advance for a project constitutes security of having their commission reimbursed or compensated by said payment. To avoid any abuse, you understand and accept that the reimbursement of a commission will be made exclusively in the form of a credit and not a reimbursement in cash.

G. UN CODEUR GRATUIT LTD UK & EU offers sponsored placement on provider rankings. 10. WARRANTIES

D. ANY MATERIALS DOWNLOADED OR OTHERWISE OBTAINED WHILE USING THE SERVICE AT YOUR OWN RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER OR LOSS OF DATA RESULTING FROM DOWNLOADING THIS MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM UN-CODEUR-GRATUIT.FR OR IN THE USE OF THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY PROVIDED FOR IN THIS AGREEMENT.

B. Our contracts with our suppliers, in particular that of our host, imply that it may at any time carry out emergency or planned maintenance. 12. ACT

The Parties undertake to replace any provision of the Contract deemed inapplicable or illegal by a provision of equivalent economic effect. Any dispute relating to the execution or interpretation of the Contract is, depending on the jurisdiction, the exclusive jurisdiction of the Commercial Court of London. English law will be applicable and the language of the proceedings will be English. The Contract contains all the contractual provisions between UN CODEUR GRATUIT LTD UK & EU Partner and the User regarding the Site and the services offered there, excluding any prior agreement.
